Confidential Information and Privacy
- Disclosure and Use. All Confidential Information shall be kept by the receiving party in strict confidence and shall not be disclosed to any third party without the disclosing party's express written consent. Notwithstanding the foregoing, such information may be disclosed (i) to the receiving party's employees, affiliates, and agents who have a need to know for the purpose of performing this Agreement, using the Services, rendering the Services, and marketing related products and services; or (ii) as otherwise authorized by this agreement. Each party agrees to treat all Confidential Information of the other in the same manner as it treats its own proprietary information, but in no case using a degree of care less than a reasonable degree of care.
- Ownership of Customer Data. . GS TrackMe acknowledges that all Customer data, including data transmitted by Customer to GS TrackMe for processing using the GS TrackMe Service (“Customer Data”) and Customer systems used by Customer to access the GS TrackMe Service shall be and remain the property of Customer. GS TrackMe shall have the right to use and reproduce Customer Data solely to the extent necessary to provide the Service and fulfill its obligations to Customer hereunder.
- Customer Privacy. It is GS TrackMe’s policy to respect Customer’s privacy. GS TrackMe will never rent, lease, sell or give away any Customer information to third parties for marketing purposes. GS TrackMe will not monitor, edit, or disclose any personal information about Customer or Customer’s GS TrackMe account, including its contents, without Customer’s prior permission unless GS TrackMe has a good faith belief that such action is necessary to: (a) conform to legal requirements or comply with legal process; (b) protect and defend the rights or property of GS TrackMe; (c) enforce this Agreement or protect GS TrackMe's business or reputation, including upon termination, cancellation or suspension of this Agreement by GS TrackMe; (d) respond to any request for identification in connection with claim of copyright or trademark infringement by Customer; (e) prevent imminent physical injury or harm to any person or prevent any suspected infringing, illegal or improper activity; in either of which event, such information shall be disclosed to any law enforcement agency making such request in regards to criminal activity; or (f) act to protect the interests of Customer or others. Customer agrees that GS TrackMe may access its account, including its contents, as stated above or to respond to service or technical issues.
